These Terms govern selectai.ge and the Select AI art sales assistance service provided by Select AI LLC, a limited liability company registered in Georgia, identification number 404821485, registered at Georgia, Tbilisi, Mtatsminda district, Zurab Zhvania Street, No. 4, apartment 4.
“Select AI”, “we” and “us” mean Select AI LLC. “Customer” or “you” means the business or individual purchasing or using the service for business purposes. The provisions relevant to website browsing also apply to visitors to the extent permitted by law. Merely visiting the website does not create a paid subscription.
1 Acceptance and contract documents
You accept these Terms by expressly agreeing to them during registration or ordering, signing an order that incorporates them, or otherwise expressly agreeing to use the service on this basis. If you accept for an organisation, you confirm that you have authority to bind it. Customer account holders must be at least 18 years old.
An “Order” means an accepted proposal, order form, subscription checkout or other written agreement identifying the service, plan, term, fees and any special conditions. “Buyer” means a person interacting with the assistant through your website or connected channels. “Customer Data” means catalogues, images, messages, settings and other material supplied or processed through the service for you or your buyers.
The applicable data processing agreement controls personal data processing. An Order controls commercial provisions it expressly varies. These Terms otherwise apply. The Privacy Policy explains Select AI's own processing practices; it does not replace the customer's notices to buyers or the data processing agreement.
2 What Select AI provides
Select AI helps galleries and online art marketplaces assist buyers using information from their own artwork catalogues and business knowledge. Depending on the purchased plan and enabled features, the service may:
Guide buyers through artwork discovery using their taste, space, budget and other stated preferences.
Recommend suitable artworks from the connected catalogue and explain their relevance.
Answer questions about artworks, artists, materials, dimensions, prices, availability and the customer's purchasing process.
Create illustrative previews of selected artworks in uploaded room photographs.
Capture enquiries, identify possible purchase interest and provide buyer preference insights.
Route buyers to checkout, an enquiry process or the customer's team.
Provide these functions through the customer's website and supported social media or messaging accounts.
Only the features and usage included in your plan or Order are supplied. A supported platform may still require account approval, permissions or a compatible technical setup. Website examples and demonstrations do not guarantee a particular output or sales result. Future or beta features are included only when expressly made available to you on the applicable terms.
3 Access and setup
Subject to these Terms and payment of agreed fees, we grant you a limited, nonexclusive right during your subscription to access the service, configure the available functions and deploy the assistant on the websites and channels authorised by your plan or Order.
You must provide accurate account details, protect credentials, manage team permissions and promptly report suspected unauthorised access. You are responsible for your authorised users and for your own websites and connected accounts. We remain responsible for our own acts, omissions and contractual obligations.
You must provide the catalogue, technical access and configuration information reasonably needed for setup. Standard setup and catalogue import are included where stated in the accepted plan. Substantial data preparation, custom development or additional integrations require an agreed quote before work begins.
You should review the assistant's catalogue connection, information and handover process before launch. We are not responsible for a delay caused by missing access or information you were required to supply, but will explain any resulting impact on the agreed work.
4 Catalogue information and customer responsibilities
You retain responsibility for the material supplied to the assistant, including artwork images, titles, artist information, prices, taxes, availability, provenance statements and sales policies. Keep this information accurate and current and notify us of material errors that cannot be corrected through available controls.
You must have the rights and permissions needed to provide and display that material and to authorise its processing. Supplying an artwork image does not establish ownership of its copyright or permission for every possible use.
You are responsible for deciding how your business uses enquiries, conversations and buyer insights, providing appropriate privacy and AI notices, establishing lawful grounds for processing and obtaining any required consents. You must maintain a suitable way for buyers to contact your team.
Select AI's normal service uses your connected catalogue. These Terms do not grant Select AI permission to disclose your identifiable buyer information to another gallery, redirect your enquiries to another seller for a separate commercial purpose or charge an artwork sales commission. Any such arrangement requires a separate agreement and lawful data handling.
5 AI responses and room visualizations
AI responses can be inaccurate, incomplete, biased or outdated. The assistant's use of catalogue information does not eliminate that risk. Customers should monitor material issues and apply human review appropriate to the information and transaction.
Neither a recommendation nor an assistant response is a professional authentication, provenance opinion, formal valuation, investment recommendation or guarantee of future resale value. Important details should be confirmed with the selling gallery before purchase. Buyer interest indicators are estimates, not verified statements of a person's intentions or ability to pay.
Room visualizations show a possible appearance of an artwork in a space. Colours, scale, dimensions, framing, perspective and lighting may differ from reality. Buyers should check actual measurements and specifications before purchasing. Uploaded photographs must be lawfully provided and should not include unnecessary personal information.
We do not guarantee a particular increase in sales, conversion rate, lead volume or commercial result. No uptime percentage or support response time is guaranteed unless expressly agreed in an Order.
6 Artwork sales and buyer relationships
Select AI supplies software and related services. Unless separately agreed in writing, we are not the seller, agent, authenticator, insurer or custodian of any artwork and do not handle its delivery or transfer of title.
Artwork transactions are concluded between the buyer and the identified seller under that seller's terms and applicable law. The seller is responsible for artwork descriptions, authenticity representations, pricing, payment arrangements, taxes, fulfilment, shipping, returns and buyer support.
The assistant may guide a buyer towards an enquiry or checkout. Its recommendation does not itself form a sale, reserve an artwork, approve a discount or amend a seller's terms. Any authority to take transactional actions must be separately and expressly configured and agreed.
Buyers using an assistant must not submit unlawful material, misuse the service or upload photographs they are not entitled to use. Their purchase and statutory rights remain governed by the relevant transaction and applicable law, rather than by the business subscription provisions in these Terms.
7 Permitted use and restrictions
You may use the service for legitimate artwork discovery, buyer assistance and related business activities within the agreed scope. You must not use it to infringe rights, mislead buyers, send unlawful or unsolicited communications, discriminate unlawfully or process information without the necessary authority.
You must not introduce malware, interfere with service operation, bypass limits or security controls, access another customer's data or attempt unauthorised extraction of the platform or its underlying technology. Reverse engineering restrictions apply only to the extent permitted by law. Resale or sublicensing requires our written agreement.
The service must not be used for sensitive personal profiling, biometric identification, creditworthiness assessments or solely automated decisions with legal or similarly significant effects. Do not submit unnecessary sensitive data or payment card information in buyer conversations.
Where misuse is suspected, we may investigate and restrict the affected access proportionately. Where practical and lawful, we will explain the issue and allow correction before suspension. Immediate action may be necessary to prevent unlawful activity, a security threat or serious harm.
8 Plans and usage allowances
Your accepted plan or Order identifies included features, catalogue scope, websites, connected channels, team access, conversations, visualizations and any other limits. Changes to public plan descriptions do not retrospectively remove entitlements already purchased for a prepaid period.
Conversation and visualization counting rules, reset dates and any overage mechanism must be disclosed in the ordering information. Unless otherwise agreed, monthly allowances reset each month and unused allowances do not carry forward, including within an annual subscription.
When an allowance is reached, further use may be limited until the next reset or an agreed upgrade or additional allowance. Automatic overage charges apply only if you previously accepted the rate and charging mechanism. We will provide usage information through available account tools or on request and reasonably investigate reported counting errors.
9 Fees and payment
Fees, currency, billing frequency and payment dates are stated in your Order or accepted checkout. Taxes are charged as disclosed in that process and required by law. You remain responsible for taxes applicable to your purchase, excluding taxes on Select AI's income.
Unless otherwise agreed, subscriptions are payable in advance for each monthly or annual billing period. An annual plan shown at a monthly equivalent is charged annually where this is clearly stated and accepted. Additional setup or integration fees require prior agreement.
We may charge a stored payment method only under the payment authorisation you provide. We may suspend the affected subscription if an undisputed amount remains overdue after written notice and at least 10 calendar days to pay. Promptly raised, genuine billing disputes will be reviewed in good faith.
A recurring price increase applies no earlier than the next renewal and requires at least 30 calendar days' notice. It does not increase the price for time already prepaid. You may cancel before renewal if you do not accept the new price.
10 Renewal and cancellation
Automatic renewal applies only where disclosed and accepted in your Order or checkout. If agreed, the subscription renews for successive periods of the same length unless cancelled before the next renewal. Otherwise, continuation requires agreement.
You may cancel through an available account control, the contact identified in your Order or support@selectai.ge. We will confirm cancellation. Cancellation ordinarily takes effect at the end of the current paid billing period, with access continuing until then and no further renewal charge.
Voluntary cancellation does not ordinarily entitle you to a refund for unused time or allowances, subject to these Terms, your Order and mandatory law. Cancelling an annual plan does not convert it into a monthly plan. A trial converts into a paid subscription only under the conversion terms clearly disclosed and accepted in advance.
11 Termination and refunds
Either party may terminate the affected service for a material breach that remains uncorrected for 15 calendar days after written notice describing it. Immediate termination is permitted where the breach cannot reasonably or lawfully be corrected or continued service would be unlawful.
Select AI may discontinue a subscription for convenience on at least 30 calendar days' written notice. If we do so, or you terminate for our uncorrected material breach, we will refund the prepaid subscription fees attributable to the unused period after termination. We will also correct duplicate charges and billing errors.
Refunds due under these Terms are processed within 30 calendar days after entitlement and the amount are established, subject to payment processing times. Fees properly incurred before termination remain payable. Nothing limits mandatory cancellation, refund or other statutory rights where applicable.
12 Ownership and use of content
You and the relevant rights holders retain your rights in Customer Data. You authorise us to host, retrieve, process, transmit and display that material only as needed to provide, configure, secure and support your agreed service, including through authorised providers and integrations.
This authorisation does not transfer artwork ownership or copyright and does not grant permission for unrelated advertising, selling buyer information or general model training. Additional use requires separate authorisation or another applicable lawful basis, together with the required privacy information and protections.
Select AI and its licensors retain rights in the platform, software, interfaces, models, documentation and other technology they provide. No rights are granted beyond those expressly stated. Subject to rights in underlying materials and applicable law, you may use generated responses and visualizations in your business. We do not guarantee that AI output is exclusive or capable of copyright protection.
We may use voluntary product suggestions to improve the service without payment, subject to confidentiality and data protection obligations. Public use of your logo, name as a customer or testimonial requires your permission.
13 Personal data and confidentiality
Select AI acts as controller for its own website and account administration data as described in the Privacy Policy. For buyer information processed on your behalf, you normally act as controller and Select AI acts as processor.
Before such processing begins, the parties must agree a written data processing agreement covering the actual processing, instructions, providers, security obligations, international transfers, rights assistance, incident handling and return or deletion. It forms part of the service agreement and governs personal data matters in case of conflict.
Each party must keep the other's nonpublic business information confidential, use it only for the agreement or lawful protection of rights and restrict disclosure to people who need it and are bound by suitable duties. Information lawfully made public, already known without restriction, independently developed or lawfully obtained from another source is excluded.
Legally compelled disclosure is permitted, with notice to the other party where lawful. Confidentiality continues for three years after termination and for longer where needed to protect trade secrets or comply with personal data obligations.
14 Providers and service changes
The service depends on external infrastructure, AI models and connected platforms. Their operation, permissions and availability may change. We will use reasonable efforts to address material effects on your service and remain responsible for our own obligations and for providers to the extent required by law or contract.
We may maintain and improve the platform. Where practical, we will give advance notice of a material change affecting core functionality or a supported integration. We will not materially reduce an agreed prepaid service without an appropriate remedy. If an essential feature is withdrawn without a reasonably equivalent replacement, you may terminate the affected service and receive a proportionate refund for unused prepaid time.
Beta or pilot features may change and do not carry a service level commitment unless expressly agreed. Their evaluation status does not remove applicable confidentiality, data protection or mandatory legal obligations.
15 Warranties and liability
Each party confirms its authority to enter into the agreement. We will provide the service with reasonable care and skill. Subject to that commitment, express Order provisions and mandatory law, the service is provided as available without a promise that all output will be accurate or suitable for every purpose.
For business subscriptions, each party's aggregate liability arising from the agreement is limited to the fees paid or payable for the affected service in the 12 months before the event giving rise to the claim. If the subscription has existed for less than 12 months, the cap is the fees paid or contractually payable during that shorter period, including any agreed annual commitment.
To the extent permitted by law, neither party is liable for indirect or consequential loss or loss of anticipated profits. The exclusions and cap do not apply to fraud, intentional misconduct, gross negligence or liability that cannot lawfully be limited. Payment obligations are not capped. These provisions do not restrict an individual's statutory data protection claims or regulatory powers.
You remain responsible for unlawful content and instructions you provide, and we remain responsible for our own breaches. AI output limitations do not excuse a failure to perform our express contractual obligations.
16 When access ends
When a subscription ends, access may be disabled and integrations disconnected. You should arrange export of available records before termination. We will reasonably assist with return or export consistently with the data processing agreement and applicable law.
Personal data must be returned or deleted as required by that agreement and law, including any requirement for immediate return. These Terms do not create a separate automatic retention period after termination. Any legally retained copies remain protected and restricted to their necessary purpose.
You must remove obsolete integration code and revoke permissions you control. Confidentiality, intellectual property, accrued payment obligations, liability and dispute provisions continue to the extent needed to give them effect.
17 Changes to these Terms
We may update these Terms and will identify the revision date. Material changes for existing subscriptions require at least 30 calendar days' notice unless a shorter period is legally necessary. Changes do not retrospectively remove accrued rights or increase prepaid fees.
If you reject a material change effective before the end of your current prepaid period, you may terminate the affected service before the change takes effect and receive a proportionate refund for the unused remainder. Continued use after appropriate notice may constitute acceptance where legally valid. Separate express agreement or consent will be obtained where legally required.
18 Governing law and general terms
Georgian law governs these Terms. The parties will try in good faith to resolve disputes through discussion, without restricting either party's right to urgent relief. Unresolved disputes are subject to the competent courts of Georgia, subject to mandatory rules and rights that cannot be displaced by agreement.
Neither party is liable for delay caused by circumstances beyond its reasonable control if it gives appropriate notice and takes reasonable steps to reduce the impact. This does not excuse payment for services already supplied. If such an event prevents the core service for more than 30 consecutive days, either party may terminate the affected service and unused prepaid fees will be refunded.
A party may transfer the agreement in a genuine business succession if the successor can fulfil it, the other party is notified and data protection requirements are met. Other transfers require consent, not to be unreasonably withheld.
If a provision is unenforceable, the remaining provisions continue to the extent lawful. Delayed enforcement does not waive a right. These Terms, the applicable Order and data processing agreement form the agreement for the service. Changes to individually negotiated terms require agreement by authorised representatives.
